The https://cliocloudconference.com/ (the “Site”) is operated and owned by Themis Solutions Inc. and its affiliates (“Clio”, “we”, “us” or “our”). This document (the “Terms”) states the terms and conditions of use under which you, whether personally or on behalf of any other person or entity (“you”), may use the Site and attend the 2025 Clio Cloud Conference (the “Event”). By accessing the Site, you acknowledge that you have read and agree to be bound by and to comply with these Terms without limitation or qualification, and that you have authority to bind any person or entity that you may purchase Event passes for. If you do not agree, without limitation or qualification, to be bound by and to comply with these Terms, you must not access or use the Site and you must not attend the Event. If you do not have authority to bind any Registrant (as defined below) you purchase a pass for to these Terms, you must not purchase a pass for such person, and they or someone who has such authority, should purchase such pass for that individual or entity.
The Site currently provides the following services (“Services”): (i) information about the Event; (ii) registration and payment for the Event; and (iii) links to other websites which Clio believes may provide information of benefit to users of this Site and/or attendees of the Event.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use the Services or register for the Event.
We may refuse or cancel a registration or deny access to the Site for any reason.
You agree to only use the Site for lawful purposes, and Clio grants you non-exclusive, non-transferable, non-sublicensable, revocable, limited licenses, to access, view and use the Site, including the materials contained herein, for your personal use.
You agree that you will not:
You may browse the Site without registering for the Event, however, to register for and attend the Event, you will be required to register to use certain features and purchase a pass. By purchasing a pass to the Event, each Registrant (as defined below) agrees to these Terms, and you represent and warrant that you have the authority to register on behalf of any person or entity you purchase a pass and register for. A person or entity is registered when they purchase a valid pass (or a pass is validly purchased on their behalf) in compliance with these Terms (each a “Registrant”). For certainty, any reference to “you” throughout these Terms, includes each Registrant and each Registrant is bound by these Terms.
Your account username and password are personal to you. You are responsible for maintaining the confidentiality of your registration information (including without limitation, and as applicable, any login or password), and for all uses of your registration information and for all activities (including purchases) that are conducted through your account, whether or not authorized by you. You may not transfer or sell your account, other than as permitted by these Terms. Clio is not liable for any harm related to disclosure of your username and password or the use by anyone else of your username and password. You may not use another user’s account without that user’s permission. You agree to immediately notify Clio of any unauthorized use of your registration information or any other breach of security of which you are or become aware. We may require you to change your username and/or password if we believe your account is no longer secure or if we receive a complaint that your username violates someone else’s rights. You will have no ownership in your account or your username. We may refuse registration, cancel an account or deny access to the Site for any reason.
Clio reserves the right to refund your pass if you have purchased the wrong pass type. Note that all Legal Vendors (defined as those who sell or provide services to the legal industry) must purchase a Legal Vendor pass and are not eligible for other listed pass types.
You will pay all charges incurred by you at the prices listed on the Site and in effect at the time of purchase, including any applicable service fees and taxes. Taxes are collected as required by local laws, and may be displayed separately or included in the total service fee amount.
Clio reserves the right, in its sole discretion, and at any time, to: (a) correct any error, inaccuracy, or omission at any time without prior notice or liability to you or any other person; (b) change at any time the products and services (including without limitation, the passes) advertised or made available for sale on the Site, the prices, fees, charges, and specifications of those products and services (including without limitation, the passes), any promotional offers and any other Site content without any notice or liability to you or any other person (promotions may be subject to separate terms or restrictions, which will be clearly communicated with the promotional materials); (c) refuse any order you place; and (d) limit quantities available for sale or sold. The advertisements on the Site are invitations to make offers to purchase products and services (including without limitation, the passes) and are not offers to sell.
Cvent, Inc. Inc. and its affiliates (“Cvent”) will be handling the transaction and collecting payment for the passes for the Event. This payment processing and the related services (the “Cvent Services”) are a third-party service and are subject to Cvent’s terms of service, including other agreements and documents referred to in such agreement, or otherwise provided to you by Cvent (the “Cvent Agreements”). By completing your purchase and registering for the Event, you agree to be bound by this provision and by the applicable terms of the Cvent Agreements. You authorize Clio to share certain information that you provide with Cvent pursuant to our Privacy Policy. Transaction information from payors will be collected for processing of transactions by Cvent in accordance with Cvent’s terms applicable to the payments.
The availability of any Cvent Services through the Services does not imply Clio’s endorsement of or affiliation with Cvent. Access to and use of any Cvent Services are subject to the separate terms and conditions required by Cvent, including without limitation the Cvent Agreements. Clio does not control the CventServices and will have no liability to you or any Registrant in connection with any Cvent Service. Clio has no obligation to monitor or maintain any Cvent Service and may replace, disable or restrict access to any Cvent Service or cancel related integrations at any time, without notice. BY USING OR ENABLING ANY CVENT SERVICE, YOU EXPRESSLY ACKNOWLEDGE THAT ANY LIABILITY AND REMEDIES RELATED TO THE CVENT SERVICE IS WHOLLY GOVERNED BY THE APPLICABLE CVENT AGREEMENT AND CLIO DISCLAIMS ALL LIABILITY RELATED TO SUCH CVENT SERVICE.
Your order is confirmed when you are sent confirmation of same, in the form of a confirmation page or email (the “Confirmation”). If you do not receive a Confirmation after submitting payment information or if you receive an error message or service interruption, it is your responsibility to confirm via your account, whether or not your order has been placed. Only you may be aware of any problems that may occur during the purchase process. Clio will not be responsible for losses (monetary or otherwise) if you assume that an order was placed, if you failed to receive confirmation. Registrants shall only be refunded their purchase price, less applicable fees and taxes, if cancellation of an Attendee or Legal Vendor pass is completed by emailing conference@clio.com by May 30, 2025 (the “Refund Deadline”). Passes are otherwise nonrefundable. Registration permits access to the Event (Clio Cloud Conference 2025, hosted at the Hynes Convention Center (“Venue”) on October 16, 2025 to October 17, 2025, located at 900 Boylston St, Boston, MA 02115, United States).
Registrant may be permitted to transfer their registration to another individual who is affiliated with the same company or organization by emailing conference@clio.com by September 19, 2025. Clio reserves the right, at its sole discretion, to approve or deny a transfer of registration for any reason. Reselling registrations is strictly prohibited.
You agree to comply with all applicable rules, policies, the Code of Conduct and laws applicable to your attendance at the Event. Clio reserves the right, without any liability or obligation to refund any amount paid, to refuse admission to or prohibit any Registrant’s access to the Event, and/or to remove any individual from the Venue, for conduct that Clio, in its sole discretion, deems disorderly or non-compliant with these Terms, any applicable laws, rules, policies, codes of conduct, Venue rules, including, without limitation, for the following reasons: reselling or attempting to resell an event pass; making or attempting to make an unauthorized transfer of a pass; committing misrepresentation in the acquisition of a pass or participation at the Event; abusing any person at the Event or in the lead up to the Event, including without limitation any officer, employee, contractor, agent, guest, or attendee of Clio or any exhibitor, Venue staff, or any other person in connection with the Event.
Clio reserves the right, at its sole discretion, to make any changes to these Terms or the Event (or any part of it) without notice. Changes will be posted on https://cliocloudconference.com/tos/. While schedules for the Event are posted on the Site and Clio agrees that it will make commercially reasonable efforts to retain the speakers and their presentation topics posted, unforeseen circumstances may result in the substitution of a presentation topic or speaker, and Clio reserves the right, in its sole discretion, to make any changes to schedules, speakers, topics of discussion or any other changes in connection with the Event.
If the event is canceled: no action is required to obtain a refund; a refund will be issued to the original method of payment used at time of purchase.
Any of your personal information which Clio collects via this Site and/or at the Event, is subject to the Clio Privacy Policy, which is incorporated by reference into Terms. By registering for the Event, you agree to receive email notifications regarding this Event in particular, as well as communications associated with products and services purveyed by Clio. At any time, a recipient can remove themselves from receiving such communications by employing the “unsubscribe” functionality in any email received or by mailing:

Without limiting the Clio Privacy Policy, we will use your personal information, such as email address and contact information, as necessary to run the Event, such as to register attendees, issue tickets, facilitate information sharing with partners with whom you have consented for us to share information, and provide you with relevant connections and content during the conference based on this information and your use of the virtual event platform. At no time will Clio sell your personal information.
The Site and all data, text, designs, pages, images, artwork, photographs, audio and video clips, content, services, software and all other materials that are viewable or otherwise discoverable on the Site and/or are distributed at or in connection with Clio and the Event, including all passes for the Event obtained from the Site (collectively, the “Content”), are owned by Clio, Clio related companies/affiliates, and/or Clio’s licensors and/or the participating sponsors or speakers. We may change the Content and features of the Site at any time.
We grant you a limited, conditional, non-exclusive, non-transferable, non-sublicensable license to view this Site and its Content as permitted by these Terms for non-commercial purposes only if, as a condition precedent, you agree that you will not:
The license granted herein exists only so long as you strictly comply with each of the provisions described in this section. Any use of the Site or Content by you or anyone acting on your behalf that does not strictly comply with each and every provision in this section exceeds the scope of the license granted to you herein, constitutes a breach of these Terms. You will not acquire any ownership rights by using the Site or the Content.
The registered and unregistered trademarks, logos and service marks displayed on the Site are owned by us or our licensors. You may not use our trademarks, logos and service marks in any way without our prior written permission.
IN NO EVENT WILL CLIO, ANY OF ITS AFFILIATES OR EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS OR AGENTS, OR OUR EVENT ORGANIZERS, SUPPLIERS, ADVERTISERS AND SPONSORS (“CLIO GROUP” FOR THE PURPOSES OF THIS SECTION), BE RESPONSIBLE OR LIABLE TO YOU OR ANYONE ELSE (INCLUDING WITHOUT LIMITATION ANY REGISTRANT YOU PURCHASE A PASS FOR) FOR, AND YOU (ON YOUR OWN BEHALF AND ON BEHALF OF ANY REGISTRANT YOU PURCHASE A PASS FOR) HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY TYPE (INCLUDING WITHOUT LIMITATION DAMAGES FOR HARM TO BUSINESS, LOSS OF INFORMATION OR PROGRAMS OR DATA, LOSS OF PROFIT, LOSS OF SAVINGS, LOSS OF REVENUE, LOSS OF GOODWILL), AND ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED, ARISING OUT OF OR IN CONNECTION WITH THE EVENT, THE SITE (OR ANY INCONVENIENCE, DELAY OR LOSS OF USE OF OR ACCESS TO THE SITE), THE CONTENT OR ANY LINKED WEBSITE (INCLUDING WITHOUT LIMITATION ANY DAMAGES SUFFERED AS A RESULT OF OMISSIONS OR INACCURACIES IN SUCH WEBSITES OR CONTENT, OR THE TRANSMISSION OF CONFIDENTIAL OR SENSITIVE INFORMATION TO OR FROM SUCH WEBSITES), OR ANY PASS PURCHASED THROUGH THE SITE. WITHOUT LIMITING THE FOREGOING, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT CLIO GROUP WILL HAVE NO LIABILITY OR RESPONSIBILITY WHATSOEVER FOR (a) ANY FAILURE OF ANOTHER USER OF THE SITE OR ATTENDEE AT THE EVENT TO CONFORM TO THE CODES OF CONDUCT, (b) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, WHETHER ARISING IN CONTRACT OR IN TORT, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SITE OR YOUR ATTENDANCE AT THE EVENT, (c) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, (d) ANY BUGS, VIRUSES, WORMS, TROJAN HORSES, DEFECTS, DATE BOMBS, TIME BOMBS OR OTHER ITEMS OF A DESTRUCTIVE NATURE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SITE, OR (e) ANY ERRORS, MISTAKES, INACCURACIES OR OMISSIONS IN ANY CONTENT. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE OR THE EVENT IS TO STOP USING THE SITE AND LEAVE THE EVENT.
CLIO ASSUMES NO LIABILITY FOR THE ACTS OF ITS SUPPLIERS (INCLUDING ANY SPEAKERS OR OTHER PERSONS ASSOCIATED WITH, ATTENDING, PERFORMING OR OFFERING SERVICES AT THE EVENT), ANY THIRD PARTIES GENERALLY, NOR FOR THE ACTS OF ANY EVENT ATTENDEES.
IF, NOTWITHSTANDING THE FOREGOING, CLIO GROUP IS LIABLE TO YOU OR ANY OTHER PERSON, THEN THE AGGREGATE LIABILITY OF CLIO GROUP FOR ALL CLAIMS ARISING OUT OF OR RELATED TO USE OF THE SITE AND/OR PARTICIPATION IN/ATTENDANCE AT THE EVENT WILL BE LIMITED TO A REFUND OF THE APPLICABLE INDIVIDUAL OR TEAM PASS. PARTICIPANTS WILL HAVE KNOWINGLY ASSUMED ANY RISKS FROM ATTENDING THE EVENT AND ITS ANCILLARY EVENTS. IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE. THE FOREGOING LIABILITY EXCLUSION AND LIMITATION APPLY TO LIABILITY UNDER ANY THEORY OF LAW (INCLUDING CONTRACT, TORT, STATUTE AND STRICT LIABILITY), REGARDLESS OF ANY NEGLIGENCE OR OTHER FAULT OR WRONGDOING (INCLUDING FUNDAMENTAL BREACH OR GROSS NEGLIGENCE) BY CLIO, CLIO GROUP, OR ANY PERSON FOR WHOM CLIO IS RESPONSIBLE, EVEN IF OTHER REMEDIES ARE NOT AVAILABLE OR DO NOT ADEQUATELY COMPENSATE YOU OR ANY OTHER PERSON FOR THE LOSS AND DAMAGE, OR CLIO OR CLIO GROUP KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF THE POTENTIAL LOSS OR DAMAGE BEING INCURRED. THE LIMITATIONS IN THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THE ALLOCATION OF RISK BETWEEN US IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US. OUR LIABILITY WILL BE LIMITED UNDER THIS PROVISION TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND THE EXCLUSIONS AND LIMITATIONS SET OUT HEREIN WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
WE PROVIDE THE SITE AND THE CONTENT TO YOU “AS IS” AND “AS AVAILABLE”. WE TRY TO KEEP THE SITE UP, BUG-FREE AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, AND TO THE EXTENT THAT APPLICABLE LAW PERMITS THE DISCLAIMER OF EXPRESS OR IMPLIED WARRANTIES, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING OR COURSE OF PERFORMANCE OR USAGE OF TRADE. WE DO NOT GUARANTEE THAT THE SITE WILL ALWAYS BE SAFE, SECURE OR ERROR-FREE OR THAT THE SITE WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS OR IMPERFECTIONS. WE ARE NOT RESPONSIBLE FOR THE ACTIONS OR INFORMATION OF THIRD PARTIES, AND YOU RELEASE US FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES.
Without limiting the foregoing, you acknowledge and agree that views expressed by speakers at or in connection with the Event are their own and Clio does not accept any responsibility or liability for any advice given or views expressed during or in connection with the Event.
You hereby agree to indemnify and hold harmless Clio Group from and against any claim, action, proceeding, loss, liability, judgment, obligation, penalty, damage, cost or expense, including attorneys’ fees, which arise from or relate to the following: (a) your breach of any obligation stated in this Agreement; and (b) your negligent acts or omissions. Clio will provide prompt notice to you of any indemnifiable event or loss. You will undertake, at your own cost, the defense of any claim, suit or proceeding with counsel reasonably acceptable to Clio. Clio reserves the right to participate in the defense of the claim, suit, or proceeding, at Clio’s expense, with counsel of Clio’s choosing.
The Site and related services may contain links to third party websites that may not be owned or operated by us, and to contributions uploaded by participants, including videos, images, descriptions, links and other content. Clio has no control over those websites, nor such content, and is not responsible or liable for same. Your use of such websites and content is at your own risk and is subject to the terms of such third party sites, you should review any terms and conditions when entering those sites or viewing their content.
You agree, for yourself and on behalf of any Registrant you purchase a pass for, that the Event is a public event, that a Registrant’s appearance and actions inside and outside the Venue where the Event occurs are public in nature, and that no Registrant have has any expectation of privacy with regard to their actions or conduct at the Event. Each Registrant grants permission to us, our partners, licensees and assigns, including but not limited to our brand and media partners, to utilize Registrants’ names, images, likeness, acts, poses, plays, appearance, movements, and statements in any live or recorded audio, video, or photographic display or other transmission, exhibition, publication or reproduction made of, or at, the Event for any purpose, including in promotional materials, in any manner, in any medium or context now known or hereafter developed, without further authorization from, or compensation to, such Registrant or anyone acting on their behalf. Sessions may be audio recorded without special permission. They may be placed online or transmitted to others without permission. Short audio and video clips may be used for blogging and press coverage of sessions. In the case of virtual events, Registrant’s may view the virtual event solely for their own personal purpose. Registrant’s may not record, copy, publicly exhibit, transmit, or distribute any virtual event through any means, resell views of any virtual event, or allow others to log into their account for the purpose of watching a virtual event.
If anyone brings a claim against us related to your use of the Site, the Content, or your violation of these Terms, you agree to indemnify, defend and hold us and our affiliated companies, event organizers, suppliers, advertisers and sponsors, and each of our officers, directors, employees, and agents, harmless from and against any and all claims, damages, losses and expenses of any kind (including reasonable legal fees and costs). We reserve the right to take exclusive control and defense of any claim, and you will cooperate fully with us in asserting any available defenses.
An inherent risk of exposure to COVID-19 exists in any place where people gather. COVID-19 is a contagious disease that can lead to severe illness and death. You assume all risks, hazards, and dangers arising from or relating in any way to the risk of contracting a communicable disease or illness—including, without limitation, exposure to COVID-19 or any other bacteria, virus, or other pathogen capable of causing a communicable disease or illness, whether that exposure occurs before, during, or after ClioCon, and regardless of how caused or contracted—and you hereby waive any and all claims and potential claims against Clio and against any companies affiliated with Clio—relating to such risks, hazards, and dangers.
We may investigate any violation of these Terms, including unauthorized use of the Site. We may take legal action that we feel is appropriate. You agree that monetary damages may not provide us a sufficient remedy and that we may pursue injunctive or other relief for your violation of these Terms. If we determine that you have violated these Terms or the law, or for any other reason or for no reason, we may cancel your registration and prevent you from accessing the Site at any time without notice to you. If that happens, you may no longer use the Site or any Content. You will still be bound by your obligations under these Terms. You agree that we will not be liable to you or any third party for termination of your access to the Site or any related information, and we will not be required to make the Site or any related information available to you.
These Terms constitute the entire agreement between Clio and you with respect to the subject matter hereof, and supersede all communications, representations or agreements, either oral or written, between Clio or its affiliates and you with respect to this subject matter. Any cause of action you may have with respect to your use of this Site and attendance at the Event, or which is the subject of these Terms, must be commenced within one (1) year after the claim or cause of action arises. If for any reason a court of competent jurisdiction finds any provision of these Terms or portion thereof to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of these Terms, and the remainder of these Terms shall continue in full force and effect. No waiver of any provision herein shall be valid unless in writing and signed by an authorized representative of both you and Clio. Clio’s failure to insist upon or enforce strict performance of any provision of these Terms or any right shall not be construed as a waiver of any such provision or right. This Site is controlled, operated and administered by Clio from within the Province of British Columbia, Canada. By accessing this Site, you agree that all matters relating to the access to, or use of, this Site and your attendance at the Event, shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without reference to its conflict of laws principles, and that you will comply with all such applicable laws.
