Official Referral Contest Rules and Regulations
Contest Binding Agreement
NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. To enter the ClioCon Referral Contest (the “Contest”), you must agree to these official rules (the “Official Rules”). Therefore, please read the following rules prior to entry to ensure you understand and agree. You agree that submission of an entry in the Contest constitutes agreement to these Official Rules. These Official Rules form a binding legal agreement between you and Themis Solutions Inc. (“Clio”) with respect to the Contest.
Referral Period
Referrals can be submitted beginning on March 23, 2023 at 7:00 am CST, and will close on September 1, 2023 at 11:59 pm* CST. Draws for the Prize (as defined in the Clio Cloud Conference Referral ToS) will happen on July 21, August 15, September 1, 2023. The winners will be contacted on the day of the draws.
Referral Eligibility
Entrants must be 21 years old and over during the Contest period and must be a resident of the United States of America or Canada (excluding Quebec) in order to be eligible for the Contest. Entrants who reside in Guam, Virgin Islands, Panama or in an Unincorporated organized U.S. territory or an Unincorporated unorganized U.S. territory outside the continental United States of America are not eligible for the Contest.
Referrals
- Referrals will be tracked and tabulated by Clio. Should any discrepancies arise in the number of entries, Clio’s records will be used as the final and accurate representation of total entries by entrant.
- Clio is not responsible for lost, late or misdirected entries; printing errors; server unavailability; or computer or any other electronic or telecommunications malfunction.
- Referrals or entrants can be deemed ineligible by Clio upon its sole discretion without prior notification.
Forfeiture of Prize
Prize may be forfeited should it come to be known that an entrant is ineligible for this Contest as governed by the eligibility rules outlined in this document. Fraudulent entries (for example setting up multiple social media accounts under different names or identities) will result in forfeiture of prize (see Additional Rules).
In the event that a winner cannot be reached within 72 hours after the draw or chooses not to accept their prize, the winner will automatically forfeit their prize and the prize will not be offered to any other individual.
Winner Notification
- Winners must provide verification of their identity in order to claim the prize. Clio reserves the right to examine additional identification and may choose to accept or deny awarding the prize based on the identification presented.
- BY PARTICIPATING IN THE CONTEST, EACH PARTICIPANT AND WINNER WAIVES ANY AND ALL CLAIMS OF LIABILITY AGAINST CLIO, AND THEIR EMPLOYEES AND AGENTS, THEIR RESPECTIVE EMPLOYEES AND AGENTS, FOR ANY PERSONAL INJURY OR LOSS THAT MAY OCCUR FROM THE CONDUCT OF, OR PARTICIPATION IN, THE CONTEST, OR FROM THE USE OF ANY PRIZE.
- By claiming the prize, the winner authorizes the use, without additional compensation, of his or her name and/or likeness and/or voice/photograph and municipality of residence for promotion and/or advertising purposes in any manner and in any medium (including, without limitation, radio broadcasts; newspapers and other publications; television or film releases; slides; videotape; distribution over the Internet; and picture data storage) Clio may deem appropriate.
Additional Rules
- The conduct of the Contest is governed by the applicable laws of the United States of America and Canada as well as any federal, state/provincial, or municipal laws which take precedence over any rule to the contrary herein.
- By participating in the Contest, participants agree to be bound by the decisions of Clio personnel. Clio reserves the right to disqualify any participant or winner and may refuse to award any prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the Contest, or obtained winner status using fraudulent means. Clio will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Contest and Contest sponsor decisions concerning such disputes shall be final. If the conduct or outcome of the Contest is affected by human error, any mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, intentional interference or any event beyond the control of Clio, Clio reserves the right to terminate this Contest, or make such other decisions regarding the outcome as Clio deem appropriate. All decisions will be made by Clio and are final. Clio may waive any of these rules in their sole discretion.
- Clio reserves the right to withdraw or terminate this Contest at any time without prior notice.
- Clio will not be liable if travel to or from or attendance at the Clio Cloud Conference is impeded or refused by the actions of any government entity. Please consult local, provincial and federal guidelines for travel restrictions related to COVID-19.
Intellectual Property Rights
- By entering this Contest, participants authorize the use, without additional compensation, of his or her name and/or likeness and/or voice/photograph and municipality of residence for promotion and/or advertising purposes in any manner and in any medium (including, without limitation, radio broadcasts; newspapers and other publications; television or film releases; slides; videotape; distribution over the Internet; and picture data storage) Clio may deem appropriate for the purposes of promoting this Contest.
WAIVER OF LIABILITY AND AGREEMENT TO INDEMNIFY
EACH ENTRANT, ITS, HIS, HER OR THEIR HEIRS, SUCCESSORS AND ASSIGNS (“ENTRANT”) HEREBY RELEASES, FOREVER DISCHARGES AND COVENANTS NOT TO MAKE A CLAIM AGAINST OR SUE CLIO , ITS SUBSIDIARIES AND AFFILIATES, LICENSEES, EMPLOYEES, OFFICERS, DIRECTORS, REPRESENTATIVES, SUCCESSORS AND ASSIGNS, OF AND FROM ALL MANNER OF ACTION OR ACTIONS, CAUSE OR CAUSES OF ACTION, AT LAW OR IN EQUITY, SUITS, CLAIMS, DEMANDS, LIABILITY, LOSS, COST OR EXPENSE, OF ANY NATURE WHATSOEVER, KNOWN OR UNKNOWN, FIXED OR CONTINGENT, WHICH ENTRANT MAY HAVE OR HEREAFTER HAVE AGAINST THE WHERE AT THE CONTEST BY REASON OF ANY INJURIES OR DAMAGES THE ENTRANT MAY SUSTAIN, WHETHER TO ENTRANT’S PERSON, PROPERTY, REPUTATION, OR OTHERWISE, AS A RESULT OF, INCIDENT TO, OR RELATED IN ANY WAY TO THE ENTRY, THE CONTEST, OR THE USE, INCORPORATION OR EXPLOITATION OF THE ENTRY FOR ANY PURPOSE DESCRIBED HEREIN. ENTRANT WAIVES AND FOREGOS THE RIGHT TO SEEK INJUNCTIVE RELIEF AGAINST ANYONE RELATING IN ANY WAY TO THE CONTEST, OR THE USE, INCORPORATION, OR EXPLOITATION OF THE MATERIALS FOR ANY PURPOSE DESCRIBED HEREIN. ENTRANT AGREES TO INDEMNIFY AND HOLD HARMLESS CLIO FROM AND AGAINST ANY LIABILITIES, LOSSES, CLAIMS, DEMANDS, COSTS (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS’ FEES) AND EXPENSES ARISING IN CONNECTION WITH ANY BREACH OR ALLEGED BREACH BY ENTRANT BY VIRTUE OF PARTICIPATING IN THE CONTEST.
